Terms and Conditions: Aspire Lifestyles (Americas), Inc. (hereinafter, “Concierge Provider”) is the servicer for J.P. Morgan Reserve Travel (“Concierge Service”). By utilizing the Concierge Service detailed herein, customer recognizes that only the third party vendor(s) (“Third Party”) will be responsible for the quality and performance of any products or services provided through the Concierge Service. Concierge Provider, JPMorgan Chase & Co. and their respective employees, shareholders, affiliates, subsidiaries, officers, directors and successors (collectively, “Related Parties”) are not responsible for any aspects of the products and services provided by a Third Party. The exclusive remedy for any claims relating to Third Party services or products provided through the Concierge Service (including, but not limited to negligence or failure to deliver on the terms of any contract between a Third Party and the customer) is against the Third Party and not against the Concierge Provider, JPMorgan Chase & Co. or their respective Related Parties. Any dispute concerning, relating or referring to the Concierge Provider, JPMorgan Chase & Co. and their respective Related Parties shall be resolved exclusively by binding arbitration according to the then existing commercial rules of the American Arbitration Association. Such proceedings will be governed by the substantive (but not procedural) provisions of Delaware law. For purposes of clarification, customer understands that by utilizing the Concierge Service detailed herein, that any arbitration proceeding would apply solely with regard to disputes directly related to information provided by the Concierge Provider, JPMorgan Chase & Co. or their respective Related Parties.
